Job Title: Sr. IP Counsel

Location: Remote, USA

Purpose Statement:

The IP Counsel will work closely with senior scientific and business partners to identify and protect innovations, work with a team to develop and execute an IP portfolio strategy and communicate business-relevant legal advice.

This role reports to the Vice President of Intellectual Property supporting a wide range of intellectual property matters relating to Integrated DNA Technologies Inc.'s R&D and commercial operations. Businesses and products may span diagnostics such as next generation sequencing, functional genomics, life sciences integrated and automated solutions, reagents, workflows, systems, and software. Occasional domestic and international travel may be required in future.

The successful candidate will have an excellent understanding of patent laws globally, possess the ability to evaluate and balance both legal and business factors when providing advice, and communicate complex issues in clear business terms.

Essential Functions:

  • Serves as trusted counsel on all IP issues locally and globally (with a particular focus on invention mining, patentability, patent prosecution and freedom to operate).

  • Creates IP strategies aligned with business and strategic plans. Integrate and engage cross-functional teams in execution.

  • Leads outside counsel in the preparation and prosecution of patent and trademark applications.

  • Negotiates, drafts, and reviews agreements such as licensing agreements, research agreements, collaboration agreements, confidentiality agreements and material transfer agreements.

  • Conducts freedom to operate and landscape assessments on emerging technology.

  • Conducts due diligence in connection with a range of strategic transactions, including substantial collaborations and M&A transactions.

  • Guides senior legal and business partners on IP litigation and other adversarial proceedings, such as European Oppositions and US IPR proceedings.

  • Demonstrates behavior consistent with the Integrated DNA Technologies Core Values.

  • Performs other duties as assigned.

Education, Licensure, Certification, Registration:

  • Bachelor's degree required in biology, chemistry, or another relevant field

  • Active bar membership in at least one US jurisdiction; required

  • Juris Doctorate with excellent academic credentials from an accredited law school; required

Professional Experience:

  • 7+ years of relevant experience in either a law firm or as in-house counsel is required, depending on degree(s).

  • Admitted to practice before the U.S. Patent and Trademark Office; required

  • Partners effectively at all levels of the global organization and across all phases of research, development & commercialization to provide clear, strategic business counseling; preferred

  • Approaches IP with a strategic mentality by anticipating future business, competitive and legal risks, and looks for creative solutions and opportunities; preferred

  • Strong negotiation, communication, problem-solving, and analytical skills; able to communicate complex IP issues in business terms across a spectrum of partners; required

  • Demonstrated high integrity and ethics in all dealings, while understanding internal and external dynamics; required
