About the Role
The Director of Mergers & Acquisitions will support Sunstate's acquisition growth strategy by partnering closely with the VP of Business Development and executive leadership to evaluate, execute, and integrate acquisition opportunities. This role is responsible for financial analysis, transaction execution, diligence management, and post-close integration coordination.
While strategic growth direction and market expansion priorities are led by the VP of Business Development, the Director of M&A ensures disciplined deal execution, high-quality decision support, and successful integration outcomes that protect value and minimize disruption to operations, employees, and customers.
This role serves as the operational backbone of Sunstate's acquisition activity.
Key Responsibilities:
Acquisition Pipeline Support & Market Intelligence
- Partner with the VP of Business Development to support acquisition pipeline development aligned to Sunstate's growth strategy
- Build and maintain acquisition opportunity tracking and deal flow management tools
- Conduct market research and competitive intelligence on potential targets and regional markets
- Support relationship development with sellers, brokers, and advisors alongside Business Development leadership
- Maintain structured intelligence on acquisition targets and opportunity status
Financial Analysis & Investment Evaluation
- Perform financial modeling, valuation analysis, and ROI assessments for acquisition opportunities
- Support deal structuring analysis, pricing scenarios, and return threshold evaluation
- Assess operational and financial synergies in partnership with functional leaders
- Prepare executive summaries, investment memos, and board-ready materials to support approval decisions
- Partner with Finance to ensure alignment with capital deployment and return expectations
Transaction Management & Execution
- Manage the end-to-end transaction process once opportunities enter active pursuit
- Coordinate seller and advisor communications including Indications of Interest (IOIs), Letters of Intent (LOIs), and transaction documentation
- Lead due diligence workstreams across Finance, Legal, Operations, HR, IT, and Risk/Compliance
- Drive transaction timelines, deliverables, and cross-functional accountability
- Support purchase agreement negotiations in partnership with legal counsel and executive leadership
- Prepare internal teams for close readiness and Day 1 execution
Integration Coordination & Value Realization
- Lead integration planning and execution in collaboration with Operations, Field Leadership, HR, IT, Finance, and Safety teams
- Serve as liaison between service centers and corporate teams throughout the integration process
- Develop standardized integration playbooks, timelines, and communication plans
- Minimize business disruption, employee attrition, and customer turnover during integration
- Track synergy realization and post-close performance metrics
- Ensure smooth transition of acquired businesses into Sunstate systems, processes, and culture
Process Improvement & Governance
- Build and continuously improve Sunstate's M&A execution framework, templates, and best practices
- Maintain disciplined approval workflows and documentation standards
- Ensure confidentiality, compliance, and governance requirements are met throughout the transaction lifecycle
- Support continuous improvement of acquisition repeatability and execution speed
Qualifications/Requirements:
Required
- Bachelor's degree in Finance, Business, Economics, Accounting, or related field
- Minimum 5+ years of experience in M&A, corporate development, investment banking, or transaction advisory
- Demonstrated experience supporting or leading acquisition execution, including financial analysis, valuation modeling, and ROI assessment
- Strong understanding of transaction processes including due diligence coordination, LOIs, purchase agreements, and closing execution
- Proven ability to manage complex, cross-functional projects involving Finance, Legal, Operations, HR, IT, and executive stakeholders
- Advanced financial modeling and analytical skills with ability to evaluate deal economics and investment returns
- Strong written and verbal communication skills, including preparation of executive-level summaries and board-ready materials
- Ability to collaborate effectively with Business Development, Operations, and Field leadership partners
- High level of professionalism, discretion, and integrity in confidential environments
- Willingness and ability to travel to acquisition targets and operating locations
Preferred
- MBA, CPA, CFA, or other advanced business or finance credential
- Experience in construction equipment rental, industrial services, distribution, or asset-intensive, multi-location operating environments
- Prior experience integrating founder-owned or privately held businesses
- Exposure to multi-site operations and field-based integration environments
- Experience working in growth-oriented, acquisitive organizations or roll-up strategies
- Familiarity with post-close integration planning, synergy tracking, and value realization frameworks
- Experience working with private equity-backed or highly capital-disciplined organizations
